Hong Kong Company Incorporation Documents Checklist
Compared to other countries, setting up a company in Hong Kong doesn’t require tons of documents. All you have to gather is the following documents:
Articles of Association
This is a legal document which is made by the owners and members before forming a company. It is mainly like a constitution of the company as it provides the rules that govern the company’s internal affairs such as appointment of directors, transfer of shares, share capital amount, the corporate shareholder's rules, and other indications that members and new employees must follow.
Other Documents Required
- Passport of all shareholders/directors
- Address proof of all shareholders/ directors i.e. identity card, bank statement, driving licence, utility bill
- 10-second selfie video of each member holding his/her passport and speaking their name, passport number, and the service you need
- Company name (3 proposed company names either in English or Chinese).
- Details of Companies in an application form

- Particulars of shareholders, directors and company secretary
- Liability of members
- Share capital registered on incorporation
- Number of shares taken up by subscribers
Note: Any document provided which is not in English language, then a translated English document must be submitted.
Delivery of Documents in Hard Copy
There are three methods by which the delivery of documents in hard copy can be submitted to the Companies Registry for registration. These methods are as follows:
In Person: You can deliver documents and fees at the Shroff Counters on the 14th floor of the Queensway Government Offices during the following service. During the limited service session, you can deliver up to six documents at one time. If you need to deliver more than six documents, you can either re-queue or make use of the Registry’s Drop-in Box.
By Post: You can send documents and cheques with sufficient postage to - the Companies Registry 14th floor, Queensway Government Offices 66 Queensway Hong Kong.
Drop-in-Box: You can deposit documents and cheques in the Drop-in Box provided on the 14th floor of the Queensway Government Offices.
A Checklist for Delivering Documents in Hard Copy Form for Registration
Before submitting the documents in hard copy, there are certain requirements that should be followed. These requirements are as follows:
- Use the correct specified form which correctly states the company number and company name as printed on the Certificate of Incorporation.
- All items on the form should be in either Chinese or English. Traditional Chinese characters should be used if the form is filled in the Chinese language.
- Complete documents of a set should be in the same language.
- Sign the document and certify where applicable, also mention the date.
- State information about the presenter. Covering letters are not required unless you want to draw attention to a specific issue.
- Pay the correct fees and, if delivered by post, covered by sufficient postage.
- Submit or deliver the document for registration as early as possible within the given time limit.
- Submit the documents after the reported changes took place. The Registry will not accept a document or return which is required for registration before the effective date.
